Horizon Equity Partners Management II S.à r.l. (“HEP”) was incorporated under the laws of the Grand Duchy of Luxembourg on November 3, 2020 as a private limited liability company (société à responsabilité limitée) for an unlimited period to act as Alternative Investment Fund Manager (“AIFM”).

An AIFM is any legal person whose regular business is managing one or more alternative investment funds (AIFs). AIFMs are governed by the Law of 12 July 2013 on alternative investment fund managers.

HEP is registered in the Commission de Surveillance du Secteur Financier (“CSSF”) and has an Anti-Money Laundering and Countering the Financing of Terrorism Policy (“AML & CFT Policy”) duly implemented under the Luxembourg Law of 12 November 2004 on the fight against money laundering and terrorist financing transposing Directive 2001/97/EC of the European Parliament and of the Council of 4 December 2001 amending Council Directive 91/308/EEC.

The CSSF is the financial services regulator of the Grand-Duchy of Luxembourg.
